Annual General Meeting of Shareholders

Please be advised that the Annual General Meeting of Shareholders of Marine Farms ASA will be held on Monday the 21 May 2007 at 17:00. Location: Hotell Neptun, Valkendorfs gt 8, 5012 Bergen.

1. Opening of the meeting by the Chairman of the Board of Directors and registration of shareholders in attendance

2. Election of Chairman of the Meeting and of one person to co-sign the Minutes

3. Adoption of the Summons and the proposed Agenda

4. Approval of the Financial Statements and the Annual Report for 2006

5. Election of Board members

6. Determination of remuneration to the Board of Directors for the year 2006

7. Approval of remuneration to the Auditor for the year 2006

8. Power of Attorney to the Board of Directors to increase the share capital

9. Power of Attorney to the Board of Directors to raise convertible loans

10. Power of Attorney to the Board of Directors to acquire own shares

11. The Board of Directors statement on salary and other benefits to the management and the advisory vote of the annual general meeting

Attachment: The Annual Report 2006 and the Auditor's Report for the year 2006 together with the Board of Directors' proposal in regards of item no. 8-11 on the Agenda.

We request all shareholders who wish to attend the Annual General Meeting to fill in and sign the attendance slip. If you are not able to attend the Annual General Meeting, please complete the Form of Proxy and have it returned either to Marine Farms ASA either by letter sent to Marine Farms ASA, Østre Muralmenning 1 B, 5012 Bergen, telefaks nr. 55 23 46 45. The Form of Proxy must be received by Marine Farms ASA no later than 21st of May 2007 at 12:00 a.m.
